These Terms of Use ("Terms") govern your access to and use of the JINO website and marketplace (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
JINO operates a marketplace that connects buyers and sellers of ready-to-run digital businesses. JINO is not a party to transactions between buyers and sellers; we facilitate discovery, communication, and secure escrow payment services.
2. Eligibility and Accounts
You must be at least 18 years old and capable of entering into a binding contract to use the Service. You are responsible for maintaining the confidentiality of any credentials used to access the Service and for all activities that occur under your account.
3. Buyer Responsibilities
- Conduct your own due diligence on any listing before purchasing.
- Provide accurate information and complete payment through our escrow system only.
- Complete the ownership transfer process in good faith and within agreed timeframes.
- Comply with all applicable laws when operating any business acquired through the Service.
- Do not attempt to circumvent the marketplace to avoid transaction fees.
4. Seller Responsibilities
- List only assets you lawfully own and have the right to transfer.
- Provide accurate, truthful, and complete information about each listing, including revenue, traffic, costs, and risk factors.
- Respond to buyer inquiries in good faith and within reasonable timeframes.
- Transfer all agreed assets, credentials, code, and documentation upon completion of escrow.
- Do not engage in misrepresentation, wash-trading, fake metrics, or price manipulation.
5. Transaction Fees
Successful transactions on JINO are subject to a transaction fee of 10%–15% of the final sale price, depending on listing type, volume, and subscription tier. The applicable fee for any given transaction will be disclosed before the buyer commits and the seller accepts. Additional fees may apply for premium listings, pro subscriptions, and optional services.
6. Escrow Process
All transactions on the Service are completed through our escrow flow, which typically includes the following stages:
- Agreement. Buyer and seller agree on price and scope of transfer.
- Funding. Buyer funds escrow. Funds are held and not released to the seller at this stage.
- Transfer. Seller transfers ownership of the asset and all agreed materials to the buyer.
- Verification. Buyer confirms receipt and control of the asset.
- Release. Upon verification, JINO releases escrowed funds to the seller, less applicable fees.
- Dispute. If the parties cannot agree on completion, JINO may pause escrow pending review.
7. Disputes
If a dispute arises between a buyer and seller, both parties agree to attempt good-faith resolution first. If unresolved, JINO may review the dispute and, at our sole discretion, take actions permitted under these Terms, including releasing escrow, refunding escrow, or suspending involved accounts. Our decision in escrow disputes is final for purposes of disbursement.
8. Prohibited Conduct
- Listing assets that infringe intellectual property, violate laws, or involve fraud.
- Misrepresenting revenue, traffic, ownership, or asset scope.
- Attempting to bypass the marketplace or escrow to avoid fees or accountability.
- Using the Service to launder money or finance illegal activity.
- Disrupting, reverse-engineering, or scraping the Service without authorization.
9. Intellectual Property
The Service, including its design, content, and trademarks, is our intellectual property or that of our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. Nothing in these Terms grants you any other right in our intellectual property.
10. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the accuracy of listings, the future performance of any digital business, or continuous, uninterrupted operation of the Service.
11. Limitation of Liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability for any claim arising out of or related to the Service is limited to the greater of the fees you paid us in the twelve (12) months preceding the claim, or USD 100.
12. Indemnification
You agree to indemnify and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising out of your use of the Service, your listings or transactions, or your violation of these Terms or applicable law.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms. Provisions that by their nature should survive termination will do so.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the website. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law
These Terms are governed by applicable laws of the jurisdiction in which we operate, without regard to conflict of law principles. Any dispute will be resolved exclusively in the competent courts of that jurisdiction, except where otherwise required by law.
